01Who these terms cover

These terms concern the Studio Mushi website and services offered by Redona Dida, based in Toronto, Ontario, Canada. They apply to international visitors and clients to the extent permitted by applicable law.

When you use the website, please follow the acceptable-use rules below. Booking a discovery call does not purchase a service or create a paid engagement. Paid services begin only when we and you accept a written proposal or service agreement. Those documents must make the relevant terms available before acceptance.

If a signed service agreement conflicts with these general terms, that agreement controls the specific engagement, subject always to mandatory law.

02Services and agreed scope

Studio Mushi provides content strategy, carousel production and related services as described in your agreed scope. The website gives an overview; the accepted proposal specifies deliverables, schedule, revision rounds, responsibilities and any third-party tools or charges.

Studio Mushi’s monthly carousel packages have an initial three-month commitment, billed monthly. Monthly billing divides the payment schedule; it does not make the initial commitment cancelable month by month. Any continuation after that term must follow the renewal and commitment provisions expressly agreed in writing. These terms do not create automatic renewal on their own.

Other offers, including any fixed-duration coaching engagement, are governed by their own accepted scope and duration.

03Pricing and payment

The price, billing currency, applicable taxes, payment dates and any authorized additional expenses must be confirmed in your written proposal or agreement before purchase. A “$” symbol on the website alone does not establish a particular dollar currency.

You are responsible for paying the agreed fees on the agreed schedule. Additional work or changes outside the scope require agreement before they are charged. Website price changes do not retroactively change an existing agreed engagement.

04Committed services and cancellation

Client cancellation of a committed service term is not allowed. Once you accept a paid engagement, you commit to its full agreed duration, including the initial three months for monthly carousel packages. A change of mind or a decision not to use the agreed services does not, by itself, release you from the agreed commitment or payment obligations.

This rule is subject to mandatory law. It does not remove any non-waivable cooling-off, cancellation, termination, refund or other consumer right that applies to you, nor does it excuse Studio Mushi from providing the agreed services. If mandatory law gives you a remedy, it takes precedence over this rule.

Rescheduling a free discovery call is separate from canceling a paid engagement; use the options in your Calendly confirmation.

05Returns and refunds

Payments for our custom digital services are generally non-refundable. Subject to mandatory law and any different written agreement, a change of mind, unused capacity or a decision not to publish approved content does not create a right to a refund. Fees for work properly completed or substantially performed are not refundable solely because your preferences or business plans change.

We may consider a discretionary refund case by case. Any agreed refund will identify the amount and the deliverables it covers in writing. A refund does not automatically revoke ownership of fully paid work that is not covered by that refund. Any ownership or usage changes for refunded deliverables must be agreed in writing, subject to applicable law.

This policy does not exclude refunds or other remedies required by law, including for qualifying cancellation rights or failure to provide agreed services. It does not restrict lawful payment disputes or chargeback rights. Any deduction of payment-processing costs from a discretionary refund must be disclosed and agreed, and must not reduce a refund required by law where such a deduction is prohibited.

Contact redonadida@gmail.com with the engagement details and reason for a refund request.

06Client responsibilities

You are responsible for timely, accurate briefs, materials, feedback and approvals needed for the work. Delayed inputs may affect delivery dates; we will discuss resulting schedule or scope changes.

You must have the rights and permissions needed for materials you supply. You are responsible for reviewing content before approval, including factual claims, industry-specific disclosures and legal or regulatory requirements relevant to your business. Do not provide passwords by ordinary email or direct message; account access should use appropriate permission-based tools where available.

07Ownership of client materials

Once the fees attributable to the relevant deliverables are paid in full, the client owns the original final content and design work created specifically for that client under the agreed scope. Studio Mushi assigns its transferable copyright in those paid original deliverables to the client. The written service agreement should incorporate this assignment and be signed by the parties; we will provide further documentation reasonably needed to confirm the transfer.

Original source files created specifically for the agreed final deliverables are included in this ownership. File formats and handover arrangements should be confirmed in the scope. This does not transfer unrelated working files, unused concepts, our pre-existing templates, tools, methods or third-party materials. To the extent our pre-existing materials are incorporated into a paid final deliverable, we grant the client a perpetual, worldwide, non-exclusive license to use them as part of that deliverable.

You retain ownership of materials you provide and grant us permission to use them only as needed to perform the engagement. You must have the necessary rights to those materials. Third-party licenses remain subject to their own terms.

08Website intellectual property

Website text, branding, artwork and portfolio materials are protected by intellectual-property law and remain the property of their respective rights holders. Viewing work on this website does not grant permission to copy, republish, sell or use it as your own. Normal personal browsing and linking are permitted.

Client ownership of commissioned deliverables does not transfer ownership of Studio Mushi’s brand, website, general processes or unrelated portfolio work.

09Third-party fonts and assets

Fonts, photographs, illustrations and other third-party assets may require licenses separate from ownership of the original client work. A license held by Studio Mushi is not automatically transferable to you.

If the agreed work requires you to obtain a separate license, we will identify the asset and relevant licensing requirements in writing before handover or intended use. Any additional asset costs require agreement. You are responsible for obtaining the licenses identified for your use, and for keeping appropriate licenses for materials you supply or add later.

We remain responsible for obtaining rights needed for materials we use in performing our work. This clause does not shift responsibility for our own unauthorized use to the client.

10Confidentiality and client feedback

Non-public business information, briefs, unpublished content and account-access information shared for an engagement will be treated as confidential. We use that information and your feedback to perform and improve your engagement, not as permission to disclose your business or take ownership of your submissions.

Information may be shared with people assisting with the work only as reasonably necessary and under appropriate confidentiality obligations, or disclosed where legally required. Confidentiality does not apply to information already lawfully public, independently developed or lawfully obtained without a duty of confidence. Any signed non-disclosure agreement continues to apply.

11Showcasing client work

We will obtain your written permission before using your work, name, logo or testimonial in our portfolio, website or marketing. Publicly posting your content does not, by itself, give Studio Mushi permission to present it as a case study.

Any permission must respect agreed confidentiality, non-disclosure requirements and the scope of approval. We do not publish confidential client work or invent client outcomes. Permission requests and any later changes should be confirmed in writing.

12Results and third-party platforms

We do not guarantee followers, engagement, leads, sales or any other business result. Testimonials describe individual experiences; published-work examples and visible engagement counts are not promises of future performance or proof that a service caused a business outcome.

Instagram, ManyChat, Calendly, Substack and other platforms are independently operated and governed by their own terms. Platform features, availability and rules can change. We cannot control third-party outages, platform decisions or algorithm changes; any resulting scope changes should be handled under the service agreement.

13Acceptable website use

Do not misuse the website, interfere with its security or availability, impersonate others, send unlawful or abusive material, or infringe intellectual-property or privacy rights. Automated access must respect applicable law and must not disrupt the website.

We aim to keep information accurate but may correct website errors or update content. The website may be unavailable from time to time. No website statement excludes a representation, duty or remedy that cannot lawfully be excluded.

14Responsibility and legal protections

Each party remains responsible for its obligations under an accepted agreement and applicable law. These website terms do not introduce a monetary liability cap or exclude liability for fraud, intentional misconduct or anything that cannot lawfully be limited.

Any engagement-specific limits of liability must be expressly agreed in the service agreement and must comply with applicable law. Nothing here waives mandatory consumer protections.

15Electronic communications and signatures

We may use email and agreed digital tools for proposals, approvals, invoices and service notices. Electronic signatures and records may be used where permitted by law. Keep copies of your accepted agreement and important approvals.

Agreeing to service communications is not consent to unrelated marketing. This clause does not waive a legal requirement for a particular form of notice, signature or record.

16Governing law and disputes

Subject to mandatory rules that apply to you, these terms are governed by the laws of Ontario and the federal laws of Canada applicable there. If you are a consumer elsewhere, this choice does not deprive you of mandatory protections or rights to bring a claim in a forum available under applicable law.

Please contact us first if there is a concern so we can try to resolve it. This is not a required waiver of court access or a mandatory arbitration agreement.

17Privacy, changes and contact

Our Privacy Policy explains how we handle personal information. These terms may be updated for future website use or engagements. An update does not retroactively change your accepted service agreement without an agreed change or another lawful basis.

If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not automatically waive it later. An engagement creates an independent service relationship, not employment, a partnership or a joint venture.
